These Terms and Conditions (“Terms”) govern your access to and use of Kognis and any associated websites, mobile applications, services and features operated by Polaris Intellect Ltd (“Company”, “we”, “our”, “us”).
By creating an account, downloading, accessing or using Kognis, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use Kognis.

2. Service Description
Kognis is an AI-powered personal intelligence and productivity platform designed to help users capture, organise, manage and interact with information, notes, tasks, memories, events and other personal content.
The service may include features such as note-taking, memory storage, task management, voice capture, AI-powered organisation, analytics, subscription services and other capabilities introduced from time to time.
We reserve the right to modify, improve, enhance, suspend or remove features where necessary for the operation and development of the service.
3. Eligibility
To use Kognis you must:
Be at least 16 years old.
Have the legal capacity to enter into a binding agreement.
Provide accurate and complete account information.
Comply with these Terms and all applicable laws and regulations.
If you are using Kognis on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
4. User Accounts
You are responsible for:
Maintaining the security of your account.
Keeping login credentials confidential.
Ensuring account information remains accurate and up to date.
All activity undertaken through your account.
You must notify us immediately if you believe your account has been compromised or accessed without authorisation.
5. Subscriptions and Payments
Certain features of Kognis require an active paid subscription.
Subscriptions are billed on a monthly recurring basis through the relevant payment platform, including but not limited to Apple App Store and Google Play Store.
Automatic Renewal
Unless cancelled, subscriptions automatically renew at the end of each monthly billing period and the applicable subscription fee will be charged using your selected payment method.
Cancellation
You may cancel your subscription at any time through the platform from which it was purchased.
If you cancel during an active subscription period:
Your subscription will remain active until the end of the current paid billing period.
Future automatic renewals will be cancelled.
No refund will be provided for any unused portion of the current billing period unless required by applicable law.
You will continue to have access to subscription features until the current billing period ends.
For example, if you subscribe on the 1st of the month and cancel on the 15th, your subscription remains active until the end of that paid month and will not renew for the following month.
After Subscription Expiry
When a subscription expires:
Your Kognis account will remain active.
You will continue to have access to your existing data, memories, tasks, notes, events and other stored content.
Your data will not be deleted solely because a subscription has ended.
You may continue to view and access your existing information.
Access to premium subscription features may be removed.
If your account has reached the applicable free-tier storage, usage or data thresholds, you may be unable to create new captures, memories, notes or other content until usage falls below those limits or a subscription is reactivated.
Kognis reserves the right to define and amend free-tier data limits, usage thresholds and subscription allowances from time to time.
Cooling-Off Rights
If you are a consumer, you may have a legal right to cancel your subscription purchase within 14 days of entering into the subscription agreement, subject to applicable consumer protection laws.
By purchasing a subscription and immediately gaining access to premium features of Kognis, you expressly request that the service begins during any applicable cooling-off period.
Where permitted by applicable law, if you have accessed or used premium subscription features during the cooling-off period, any refund may be reduced to reflect the value of the services already provided.
Subscriptions purchased through the Apple App Store or Google Play Store are also subject to the terms, conditions and refund policies of the relevant platform provider. Requests for refunds may need to be submitted directly through the platform from which the subscription was purchased.

Nothing in these Terms affects any statutory rights that cannot be excluded or limited by law.
Account Deletion and Subscriptions
Deleting your Kognis account does not automatically cancel any active subscription purchased through Apple App Store, Google Play Store or another third-party payment provider.
If you wish to stop future subscription charges, you must separately cancel your subscription through the platform from which it was purchased.
Where permitted by applicable law, subscription charges may continue until the subscription is cancelled through the relevant payment platform, even if your Kognis account has been deleted.
Users are responsible for ensuring that any active subscription is cancelled before deleting their account if they do not wish future renewal charges to apply.
6. Acceptable Use
You agree not to:
Use Kognis for any unlawful purpose.
Upload or distribute malicious software, viruses or harmful code.
Attempt unauthorised access to any systems, data or accounts.
Interfere with the security or operation of the platform.
Circumvent subscription restrictions or platform controls.
Reverse engineer, decompile, modify or copy the software.
Upload content that infringes intellectual property rights.
Upload unlawful, fraudulent, abusive, defamatory, threatening or harmful content.
We reserve the right to investigate suspected misuse and take appropriate action, including suspension or termination of accounts.
7. User Content
You retain ownership of all content you create, upload, record or store using Kognis.
By using the service, you grant Polaris Intellect Ltd a limited, non-exclusive licence to store, process, analyse and display your content solely for the purpose of providing, maintaining, securing and improving Kognis.
You are responsible for ensuring that any content you upload complies with applicable laws and does not infringe the rights of any third party.
8. Artificial Intelligence Features
Kognis uses artificial intelligence technologies to assist with the organisation, categorisation and management of information.
AI-generated outputs:
May contain inaccuracies or errors.
May not always be complete, current or appropriate.
Are provided for informational purposes only.
Must not be relied upon as legal, financial, medical, professional or regulated advice.
You are solely responsible for verifying and assessing any AI-generated output before acting upon it.
9. Intellectual Property
All intellectual property rights relating to Kognis, including software, source code, branding, logos, trademarks, interfaces, designs, databases and related content, remain the exclusive property of Polaris Intellect Ltd or its licensors.
Nothing within these Terms transfers ownership of any intellectual property rights to users.
You may not reproduce, distribute, modify, sell, lease, licence or otherwise commercially exploit any part of Kognis without prior written permission.
10. Service Availability
We aim to provide a reliable service but do not guarantee that Kognis will always be:
Available.
Uninterrupted.
Error-free.
Free from delays, defects or outages.
Service interruptions may occur due to maintenance, updates, security requirements, third-party failures or circumstances beyond our reasonable control.
11. Data Protection and Privacy
Your use of Kognis is also governed by our Privacy Policy.
By using Kognis, you acknowledge that personal data may be processed in accordance with our Privacy Policy and applicable data protection legislation.
12. Limitation of Liability
To the maximum extent permitted by law:
Kognis is provided on an “as is” and “as available” basis.
We make no guarantees regarding availability, performance or suitability for a particular purpose.
Polaris Intellect Ltd shall not be liable for indirect, incidental, special, punitive or consequential losses.
We shall not be liable for loss of profits, revenue, business opportunities, goodwill or data arising from use of the service.
Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
13. Indemnity
You agree to indemnify and hold harmless Polaris Intellect Ltd, its officers, employees and affiliates against any claims, liabilities, damages, losses and expenses arising from:
Your use or misuse of Kognis.
Your breach of these Terms.
Your violation of applicable laws.
Your infringement of third-party rights.
14. Suspension and Termination
We may suspend, restrict or terminate access to Kognis immediately where:
You breach these Terms.
You engage in unlawful activity.
We are required to do so by law.
Continued access creates legal, operational or security risks.
Upon termination, your right to use Kognis will cease.
15. Changes to the Service
We reserve the right to modify, improve, suspend or discontinue any aspect of Kognis at any time.
Where reasonably practical, significant changes will be communicated through the application, website or email.
16. Changes to These Terms
We may revise these Terms from time to time.
Updated versions will be published through Kognis and will become effective from the date stated within the revised Terms.
Continued use of Kognis after changes become effective constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and shall be interpreted in accordance with the laws of England and Wales.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
